Terms of Service
1. What filedup is
filedup is a document organization tool delivered as (a) a public website and waitlist, (b) a web-based demo at app.filedup.com where document processing runs entirely in your browser, and (c) an iOS application (planned, post-launch) where document processing runs entirely on your iPhone using Apple Intelligence and on-device AI. filedup organizes documents into structured vaults with indexes, timelines, and exportable summaries.
filedup is not legal, tax, medical, financial, or professional advice. It is an organizational aid. You are responsible for reviewing and verifying all content before relying on it for any purpose.
2. Scope of these Terms
These Terms govern your use of filedup's consumer and Business tiers (Free, Plus, Pro, Family, Business), the public website, the web demo, and the iOS application. Enterprise self-hosted deployments are governed by a separate Master Software License Agreement (MSLA); see Section 14 below.
3. Service status
filedup is currently in pre-launch. You are signing up for a waitlist. There is no commercial production product yet. These Terms will be updated before the commercial product launches and again at material milestones. Continued use after an update constitutes acceptance of the updated Terms.
4. Who may use filedup
- You must be at least 13 years old. We do not knowingly collect personal information from anyone under 13.
- You must not be located in a country subject to US, EU, UN, or Singapore sanctions, or be on any restricted-persons list (e.g., OFAC SDN, EU consolidated list).
- You must not be located in, or a resident of, the European Union, United Kingdom, Switzerland, Norway, Iceland, or Liechtenstein. Our consumer offering is not available to residents of these regions. Enterprise self-hosted licensing remains available — see Section 14.
- You must use filedup only for lawful purposes consistent with these Terms.
- If you use filedup on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
5. Documents you may not upload
filedup is designed for general document organization. To protect yourself, third parties, and filedup from liability, you agree not to upload, scan, store, or share within filedup any of the following:
- Government-issued identification numbers in clear form, including but not limited to SSN, NRIC / FIN, passport numbers, driver's licence numbers, national health numbers, and tax identification numbers.
- Medical records or protected health information subject to HIPAA, PDPA health provisions, the Australian My Health Records Act, or equivalent — including diagnostic results, prescriptions, mental health records, genetic data, and reproductive-health records.
- Biometric identifiers (fingerprints, facial scans, iris scans, voiceprints) or genetic data.
- Banking access credentials, full credit-card numbers (PAN), CVVs, ATM PINs, online banking passwords, or two-factor recovery codes.
- Personal information about minors without explicit lawful authority.
- Personal data about identifiable third parties (employees, clients, family members) without their informed, recorded consent — including contact lists, payroll, or HR records.
- Copyrighted material you do not have rights to process, store, or share.
- Material that is classified, export-controlled, sanctioned, or subject to a court seal, gag order, or non-disclosure obligation that you have not satisfied.
- Material whose processing or storage would be unlawful in your jurisdiction or in Singapore.
- Content that is unlawful, defamatory, harassing, threatening, sexually explicit involving minors, or that incites violence or unlawful acts.
You are responsible for what you upload. By uploading any document, you represent and warrant that (a) you have the legal right to process it, (b) it does not fall within the prohibited categories above, (c) processing by filedup does not violate any contract, court order, or regulation that binds you, and (d) you accept full responsibility for any breach of the foregoing.
6. AI accuracy and your responsibility
filedup uses artificial intelligence (Apple Intelligence on iPhone, or local OCR in the web demo) to provide a first-pass extraction of document fields. AI output can contain errors, hallucinations, misreads, omissions, and miscategorizations.
You must review and verify all AI-generated output before using it for any purpose, including any legal, financial, tax, medical, or professional decision. Every extracted field is editable. Final responsibility for accuracy rests with you.
You acknowledge that filedup does not make automated decisions of legal or significant effect about you. filedup classifies and extracts; it does not approve, deny, recommend, score, or evaluate.
7. Service availability
We aim for high availability but do not commit to a service-level agreement under these consumer Terms. Specifically:
- filedup is provided "as is" and "as available." We may modify, suspend, or discontinue any feature with or without notice.
- We may take filedup offline for maintenance, security response, or capacity reasons.
- The iOS application's availability depends on Apple's App Store, network conditions, and your device. We are not responsible for outages caused by these third parties.
- If filedup is permanently discontinued, we will give paying users at least 30 days' notice and a means to export their data.
8. Intellectual property
- The filedup software, brand, design, and documentation are owned by us. You receive a personal, non-exclusive, non-transferable, revocable licence to use filedup under these Terms.
- Your documents are owned by you. We claim no rights over your content beyond the technical permissions necessary to provide the service.
- You grant filedup the technical permission to process your documents on your device strictly to provide the service. filedup does not transmit document content to our servers.
- Nothing in filedup grants you rights over third-party content contained in documents you upload (for example, vendor logos or branded receipts).
- We will not use your data to train AI models. We will not sell your data.
9. Subscriptions and payment
- Paid tiers (Plus, Pro, Family, Business) are billed monthly or annually in advance through the Apple App Store (for iOS) or Stripe (for web/B2B). Pricing is shown at sign-up.
- Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date. You may cancel at any time through your Apple ID settings or your web account.
- Refunds for App Store purchases are handled by Apple under their refund policy. Refunds for direct (Stripe) purchases are at our discretion within 14 days of initial purchase, except where local law requires otherwise.
- We may change pricing on at least 30 days' notice; price changes take effect at your next renewal.
- Failure to pay may result in suspension or termination of your account. We will provide reasonable notice before terminating for non-payment.
10. Limitation of liability
To the maximum extent permitted by applicable law:
- filedup is provided "as is" and "as available," without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.
- We do not warrant that filedup will be uninterrupted, error-free, secure, or produce accurate AI output.
- Our total aggregate liability to you for any and all claims, in contract, tort, or otherwise, is limited to the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) SGD 100.
- We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, lost business opportunity, or reputational harm, even if advised of the possibility of such damages.
- We are not liable for your decisions or actions based on AI output. You are required to verify before relying.
- We are not liable for failures or delays caused by events beyond our reasonable control, including acts of God, war, terrorism, sanctions, internet outages, third-party service failures (Apple, Stripe, Cloudflare, Supabase), regulatory action, or denial-of-service attacks.
- Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages. To the extent such exclusions or limitations are not permitted, the foregoing limitations apply to the maximum extent permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless filedup, its founders, employees, and contractors from any claim, liability, damages, fines, penalties, or expenses (including reasonable legal fees) arising from:
- Your use of filedup in violation of these Terms;
- Your upload of prohibited documents (see Section 5);
- Your infringement of any third-party right (including privacy, IP, contract);
- Your decisions, actions, or omissions based on AI output;
- Any regulatory action against filedup arising from your conduct.
12. Termination
We may suspend or terminate your access to filedup at any time, with or without notice, if we reasonably believe you have violated these Terms, are using filedup unlawfully, or pose a security or legal risk to filedup or other users. We will use reasonable efforts to give notice and an opportunity to cure where appropriate and lawful. You may terminate your account at any time through the app or by emailing [email protected]. On termination, you remain responsible for amounts due. Sections that by their nature should survive (IP, liability, indemnification, governing law) survive termination.
13. App Store terms (iOS users)
If you obtain filedup through the Apple App Store, you acknowledge that:
- These Terms are between you and filedup only, not Apple. Apple is not responsible for filedup or its content.
- Apple has no obligation to provide maintenance or support for filedup.
- If filedup fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation. Any other claims, losses, damages, costs, or expenses attributable to a failure to conform to a warranty are our sole responsibility.
- Apple is not responsible for product claims, including those relating to product safety, IP infringement, or consumer protection.
- Apple and its subsidiaries are third-party beneficiaries of these Terms with the right to enforce them against you.
14. Enterprise (self-hosted) deployments
Our Enterprise tier ships as a software package that the customer organization deploys on its own infrastructure (private cloud, on-prem, or sovereign cloud). Enterprise deployments are governed by a separate Master Software License Agreement (MSLA), not by these Terms.
Under the MSLA:
- The customer organization is the data controller for all personal data within the deployment. filedup is the software licensor only and does not process customer data.
- filedup does not have access to the deployment, its database, audit logs, or share-link relays. We do not receive telemetry by default.
- Customer is responsible for its own data protection compliance (GDPR, PDPA, HIPAA, etc., as applicable in its jurisdiction).
- filedup's warranty, support, and liability obligations are as set out in the MSLA, not these Terms.

15. Governing law and disputes
These Terms are governed by the laws of the Republic of Singapore, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or relating to these Terms or filedup will be resolved exclusively in the courts of Singapore, or, at our election, by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) under its Arbitration Rules in force at the time. The seat of arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language shall be English.
You agree that any dispute will be resolved on an individual basis. Class actions, class arbitrations, mass actions, and representative actions are waived to the fullest extent permitted by law.
16. General
- Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and filedup regarding consumer use of filedup, superseding any prior agreements.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Our failure to enforce a right is not a waiver of that right.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.
- Notices. Notices to you may be given by email to your account address. Notices to us must be sent to [email protected].
17. Changes to these Terms
We may update these Terms. Material changes will be communicated by email at least 14 days before taking effect. Continued use of filedup after the effective date constitutes acceptance of the updated Terms. If you do not agree to a change, you must stop using filedup and may request termination and refund of any prepaid amounts attributable to the post-change period.
